Terms of Service

These terms are an agreement between you and ShakoAI, Inc., a Delaware corporation (“Shako”, “we”, “us”). They apply to shako.dev, the Shako workspace, the shako CLI, and the VMs, links and other services that we provide (the “Service”). If you use the Service for a company or another organization, you agree to these terms for it, and you confirm that you can do so. If you do not agree, do not use the Service.

1. The Service

Shako gives you virtual machines (“VMs”) in the cloud for AI agents and for the software that you and your agents build. You can use them from the web workspace, the shako CLI and SSH, share their ports at public URLs, and give your agents a shared memory.

Early access. The Service is in early access. Its features, sizes, limits and prices can change. We can change, suspend or stop any part of the Service. When we can, we tell you before we do.

2. Your Account

  • You must be 18 or older to use the Service.
  • Give us a correct email address. Keep your email account and your SSH keys safe.
  • You are responsible for all activity in your account, including what your agents do in your VMs.
  • If you think that someone uses your account without your permission, tell us at once at fan@shako.dev.

3. Your Content

  • You own what you put on the Service: your code, files, data, apps, VM disks and agent memory (“Your Content”).
  • You give us permission to host, store, copy, send and process Your Content only as necessary to provide, secure and support the Service.
  • You are responsible for Your Content and for everything that you publish at a public URL. Anyone with a public link can open it.
  • We do not promise backups of your VMs. Keep your own copies of data that is important to you.

4. Agents, Model Providers and Other Third-Party Services

The agents that you run, such as Claude Code, Codex or Hermes, and the model providers that they call are services of third parties. You use them with your own accounts and under their terms. We are not responsible for them.

The requests from your VMs to model providers go through Shako, so that we can add your agent memory to them. We send your provider login to the provider unchanged, and we do not keep it.

5. Acceptable Use

Do not use the Service to:

  • break the law, or the rights of other persons, including their intellectual property;
  • send spam, run phishing, or host or send malware, including at a public link;
  • attack, scan or probe other systems or networks without permission, or take part in a denial of service;
  • mine cryptocurrency;
  • run an open proxy, a VPN exit or a Tor exit relay for other persons;
  • host or send content that sexually exploits children;
  • go around the limits of the Service, or get into the VMs or data of other users;
  • put a load on the Service that harms it or other users;
  • resell the Service without our written permission.

We can suspend a VM, a public link or an account that breaks these rules, or that puts the Service or other persons at risk, with or without notice.

6. Fees

  • The prices are on shako.dev/pricing. We charge per second for each VM, awake or asleep, and for network traffic above the included amount.
  • During early access we may not charge you. Before we start to charge you, we tell you, and you can stop using the Service before then.
  • We tell you at least 30 days before a price change applies to you.
  • The prices do not include taxes. You pay the taxes that apply to your use.

7. Ending

  • You can stop using the Service at any time. You can delete your VMs yourself. To close your account, write to fan@shako.dev.
  • We can suspend or close your account if you break these terms, or if the law requires it. We can stop the Service with notice to you.
  • When you delete a VM, we delete its disk, and we cannot get it back. When your account closes, we delete your VMs and your account data within 30 days, except data that the law requires us to keep.

8. Our Service and Your Feedback

We own the Service, its software and the Shako name and logo. These terms do not give you rights to them, except the right to use the Service under these terms. If you send us feedback, we can use it without obligation to you.

9. No Warranty

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service is always available, free of errors, or that it never loses data.

10. Limitation of Liability

To the extent that the law permits, Shako is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims about the Service is limited to the larger of the amount that you paid us in the 12 months before the claim, or 100 US dollars.

11. Indemnity

You agree to defend Shako against claims, and to pay the losses and costs (including reasonable legal fees) that come from Your Content, your use of the Service, or your breach of these terms.

12. Governing Law

The laws of the State of Delaware govern these terms, without regard to its conflict of laws rules. The state and federal courts in Delaware are the only place for disputes about these terms or the Service, and you and we agree to their jurisdiction.

13. Changes to These Terms

We can change these terms. We put the new date at the top. For a material change, we tell you by email or on shako.dev at least 30 days before it applies. If you use the Service after a change applies, you accept the changed terms.

14. General

These terms and our Privacy Notice are the full agreement between you and us about the Service. If a part of these terms cannot be enforced, the other parts stay in effect. If we do not enforce a part of these terms, we do not give up the right to enforce it later. You cannot transfer these terms without our written permission. We can transfer them in a merger, an acquisition or a sale of assets.
